1. Clearscale ("we", "us", "our") is a digital marketing and systems agency operating in Australia. We provide services including website builds, Google Business Profile optimisation, Google Ads management, GoHighLevel (GHL) system setups, and related consulting services.By engaging Clearscale, you agree to these Terms and Conditions in full.
2. ServicesWe provide services as outlined in your proposal or service agreement. All deliverables, inclusions, and scope are defined in the proposal sent prior to engagement. Any work outside the agreed scope will be quoted and invoiced separately before commencement.We reserve the right to decline or discontinue services if a client relationship becomes unworkable or if payment obligations are not met.
3. Payment Terms: All projects require a 50% deposit before work begins. The remaining 50% is due upon project completion, prior to final handover, access, or walkthrough being provided.Ongoing retainer fees are billed monthly in advance. Failure to pay within 7 days of the due date may result in services being paused until payment is received.All prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.
4. Refunds and CancellationsThe initial 50% deposit is non-refundable once work has commenced.If you cancel mid-project, you remain liable for any work completed up to the cancellation date. We will invoice for work completed on a pro-rata basis against the total project value.For ongoing retainers, you may cancel with 30 days written notice. No refunds are issued for the current billing period.
5. Client ResponsibilitiesYou agree to provide timely access to accounts, assets, and information required to deliver your project. Delays caused by the client do not extend Clearscale's liability or obligate us to expedite delivery at no additional cost.You are responsible for ensuring all content, images, and materials provided to us do not infringe third-party intellectual property rights.
6. RevisionsEach project includes one round of revisions as defined in your proposal. Revisions are defined as minor adjustments to existing work — not new features, additional automations, or scope changes. Additional revisions will be quoted separately.
7. Intellectual Property
Upon receipt of final payment, ownership of all custom deliverables created for you transfers to you. Any third-party tools, platforms, or templates used remain subject to their own licensing terms.Clearscale retains the right to reference completed work in portfolios and case studies unless you request otherwise in writing.
8. Third-Party Platforms
We work within platforms including GoHighLevel, Google Ads, Webflow, and others. We are not responsible for changes, outages, pricing shifts, or policy updates made by these platforms. Any additional costs imposed by third-party platforms are your responsibility.Ad spend is paid directly by you to Google or the relevant platform. It is not included in our fees.
9. Results and Guarantees
Where a performance guarantee is offered, it will be explicitly stated in your proposal with clear conditions. Guarantees are void if the client fails to meet agreed minimum ad spend, does not provide required access, or makes unauthorised changes to systems we manage.We do not guarantee specific rankings, call volumes, or revenue outcomes beyond what is explicitly stated in writing.
10. Limitation of Liability
To the extent permitted by Australian law, Clearscale's total liability for any claim arising from our services is limited to the amount paid by you in the three months prior to the claim.We are not liable for indirect, consequential, or incidental losses including lost revenue, lost data, or business interruption.
11. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This does not apply to information that is publicly available or required to be disclosed by law.
12. Governing Law
These Terms are governed by the laws of Australia. Any disputes will be subject to the jurisdiction of Australian courts.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
